VIDEO LICENSE AGREEMENT

AUSBIZ TV Pty Ltd (ACN 634751303) of 300 Barangaroo Avenue, Barangaroo, New South Wales, 2000 ("Licensor")

- and -

You ("Licensee")

(the "Parties")

In this Agreement (including the recitals) unless the context otherwise requires:

Agreement means this agreement and its schedule;

Product means Video of Your appearance as detailed in Schedule 1;

Terms means the terms and conditions of this Agreement.

Acceptance

This Agreement is between you and the Licensor, and comes into effect at the point of purchasing the Product, or at the point of its use (whichever comes first).

If you do not agree to the Terms of this Agreement, you must not use the Product.

License

Under this agreement, the Licensor grants to You a non-exclusive, non-transferable license to display the Product as per the conditions below. The licensor warrants and represents that it is the owner of all rights in and to the interview, as required to grant this License.

a.       (if downloaded) publish the Product to your website or social channels; or

b.       (if a link) share via any electronic means.

This Agreement does not permit you to use the Product

a.       as any form of paid advertising (except for boosting/promoting on social media channels);

b.       in a way which presents the Product in any form so as to expressly state or imply that your appearance on ausbiz is an endorsement by us of your business, product or service.

c. in a way which misrepresents the content or nature of the interview, or is in any way derogatory to the Licensor.

Damages

The Licensor, its directors, officers, employees, or agents will not be liable to you or any other party for indirect, consequential, special, incidental, punitive or exemplary damages of any kind (including loss of revenues or profits or loss of business) arising in connection with these Terms whether based on contract, tort, statute, or any other legal theory.        

Limitation of liability and remedies

To the extent that the applicable jurisdiction limits the Licensor’s ability to disclaim any implied warranties, this disclaimer shall be effective to the maximum extent permitted.

Licensee indemnity

You will indemnify the Licensor, its directors, officers, employees, agents and contractors in full against any liability, loss, damages, costs and expenses as a result of or in connection with your use of the Product.

Variation of Terms

The Licensor reserves the right to amend these Terms from time to time without notice to you and you will be subject to the Terms in force at the time you purchase the Licence for the Product or download the Product whichever is applicable.

Termination

Without prejudice to any other rights, The Licensor may terminate this Agreement immediately and without further notice if you fail to comply with the Terms of this Agreement. In such event, you must destroy all copies of the Product.

This Agreement shall be governed by and construed in accordance with the laws of New South Wales.
